1. INTRODUCTION

Welcome to the FOLIO Management Portal ("Portal"), operated by FOLIO (PTY) LTD.

These Terms and Conditions govern your access to and use of the Portal located at:

By registering for, accessing, or using the Portal, you acknowledge that you have read, understood, and agreed to be legally bound by these Terms and Conditions. If you do not agree with these Terms, you must immediately discontinue use of the Portal. These terms are based on and supplement FOLIO's existing website terms of use and policies.


2. DEFINITIONS

For purposes of these Terms:

"Company" means FOLIO (PTY) LTD.

"Portal" means the online management platform located at https://management.folio.agency and all associated services, modules, applications, databases, APIs, and integrations.

"User" means any individual or entity accessing or using the Portal.

"Account" means a registered user profile created within the Portal.

"Content" means any information, documents, data, files, messages, tender information, company records, submissions, or materials uploaded, generated, stored, or transmitted through the Portal.

"Services" means all services offered through the Portal including but not limited to Tender Manager, Compliance Vault, Customer Management, Document Management, Communication Services, Notifications, and related business support services.


3. ELIGIBILITY

To use the Portal, you must:

  • Be at least eighteen (18) years of age;
  • Have the legal capacity to enter into binding agreements;
  • Provide accurate and complete registration information;
  • Maintain the confidentiality of your login credentials.

Business users registering on behalf of an organisation warrant that they possess the authority to bind that organisation to these Terms.


4. ACCOUNT REGISTRATION

Users may be required to create an account before accessing certain features of the Portal.

The User agrees to:

  • Provide true, complete, and accurate information;
  • Maintain updated contact information;
  • Keep login credentials secure;
  • Immediately notify the Company of any unauthorized access or suspected security breach.

The User remains solely responsible for all activities conducted through their account.

The Company reserves the right to suspend or terminate accounts containing false information or accounts used in violation of these Terms.


5. SERVICES PROVIDED

The Portal may provide access to:

  • Tender publication services;
  • Tender monitoring services;
  • Compliance document management;
  • Business record management;
  • Client management systems;
  • Document generation tools;
  • Notifications and alerts;
  • Workflow management;
  • Reporting services;
  • Other software-as-a-service (SaaS) solutions.

The Company reserves the right to modify, enhance, discontinue, or replace any service without prior notice.

No guarantee is provided regarding the continued availability of any specific feature or module.


6. ACCEPTABLE USE POLICY

Users shall not:

  • Use the Portal for unlawful purposes;
  • Upload fraudulent, misleading, defamatory, or illegal content;
  • Attempt to gain unauthorized access to systems or data;
  • Distribute malware, viruses, or harmful code;
  • Reverse engineer, decompile, or copy the Portal;
  • Interfere with the operation of the Portal;
  • Circumvent security measures;
  • Use automated tools to scrape, harvest, or extract data without written permission;
  • Use the Portal in a manner that may damage the reputation of the Company.

Any violation may result in immediate suspension or termination of access.


7. USER CONTENT

Users retain ownership of content uploaded to the Portal.

By uploading content, the User grants the Company a non-exclusive, worldwide, royalty-free licence to:

  • Store the content;
  • Process the content;
  • Display the content as necessary to provide services;
  • Create backups and archives;
  • Generate reports and outputs requested by the User.

The User warrants that:

  • They own or have permission to use all uploaded content;
  • Uploaded content does not infringe third-party rights;
  • Uploaded content complies with applicable laws.

The Company may remove content that violates these Terms.


8. TENDER INFORMATION DISCLAIMER

The Portal may publish tender opportunities sourced from government gazettes, procuring entities, councils, parastatals, public institutions, and private sector organisations.

While reasonable efforts are made to ensure accuracy:

  • The Company does not guarantee completeness, accuracy, or timeliness of tender information;
  • Users remain responsible for verifying tender requirements directly with the issuing authority;
  • The Company shall not be liable for missed opportunities, incorrect information, or procurement decisions.

Users should always consult original tender documents before submission.


9. SUBSCRIPTIONS AND FEES

Certain services may be offered on:

  • Free plans;
  • Subscription plans;
  • Pay-per-use arrangements;
  • Promotional plans.

Users agree to pay all applicable fees associated with selected services.

Unless otherwise stated:

  • Fees are non-refundable;
  • Subscriptions automatically renew upon expiry;
  • The Company may revise pricing at any time.

Failure to pay fees may result in service suspension.


10. COMMUNICATIONS

By creating an account, Users consent to receive:

  • Service notifications;
  • Security alerts;
  • System announcements;
  • Account updates;
  • Product updates;
  • Promotional and marketing communications.

Users may opt out of promotional communications while continuing to receive essential service notifications.


11. DATA PROTECTION AND PRIVACY

The Company collects and processes personal information in accordance with its Privacy Policy.

Information may include:

  • Names;
  • Email addresses;
  • Telephone numbers;
  • Company details;
  • User activity logs;
  • Uploaded documents.

The Company implements reasonable security safeguards but cannot guarantee absolute security of data transmitted over the internet.


12. INTELLECTUAL PROPERTY

All Portal software, designs, trademarks, branding, source code, databases, workflows, and proprietary content remain the exclusive property of FOLIO (PTY) LTD.

Users shall not:

  • Copy the Portal;
  • Resell Portal services without authorization;
  • Remove copyright notices;
  • Reproduce system functionality for commercial purposes.

All rights not expressly granted are reserved.


13. SYSTEM AVAILABILITY

The Company aims to provide reliable services but does not guarantee uninterrupted availability.

The Portal may be unavailable due to:

  • Maintenance;
  • Upgrades;
  • Security incidents;
  • Technical failures;
  • Internet disruptions;
  • Events beyond reasonable control.

The Company shall not be liable for losses resulting from temporary interruptions.


14. LIMITATION OF LIABILITY

To the maximum extent permitted by law, FOLIO (PTY) LTD shall not be liable for:

  • Loss of profits;
  • Loss of revenue;
  • Loss of business opportunities;
  • Data loss;
  • Procurement losses;
  • Indirect damages;
  • Consequential damages;
  • Incidental damages.

The User agrees that use of the Portal is at their own risk.


15. INDEMNITY

The User agrees to indemnify and hold harmless FOLIO (PTY) LTD, its directors, officers, employees, contractors, and affiliates from any claims, liabilities, losses, damages, costs, and expenses arising from:

  • Breach of these Terms;
  • Misuse of the Portal;
  • Violation of laws;
  • Violation of third-party rights.

16. SUSPENSION AND TERMINATION

The Company may suspend or terminate access without notice where:

  • These Terms are breached;
  • Fraud is suspected;
  • Security risks are identified;
  • Payments remain outstanding;
  • The Portal is used unlawfully.

Upon termination:

  • Access rights cease immediately;
  • Certain data may be retained for legal and regulatory purposes;
  • Outstanding fees remain payable.

17. MODIFICATIONS TO TERMS

The Company may amend these Terms at any time.

Updated Terms shall become effective upon publication on the Portal.

Continued use of the Portal constitutes acceptance of revised Terms.


18. GOVERNING LAW

These Terms shall be governed and interpreted in accordance with the laws of the Republic of Botswana.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts of Botswana.
